ETHICS POLICY

1. Purpose/General

This policy provides an ethical framework encompassing all stakeholders of AMPHERR AG including employees, board members, shareholders, subsidiaries, dealers, suppliers, and other business partners.

• Fundamental Principles:

Employees of AMPHERR AG are expected to adhere to ethical rules. Commitment to compliance with non-discrimination rules defined in the Universal Declaration of Human Rights is emphasized. Senior Management and Process Owners/Leaders take the lead in communicating and implementing ethical rules throughout the organization.

• Behavioral Rules:

Tolerance, trust, and responsibility are highlighted among employees. Managers support fair relationships and foster transparency and tolerance in the work environment. Principles of fair treatment and value in relationships with third parties are adopted. Compliance with legal requirements and adherence to company regulations is ensured.

• Supplier and Customer Relations:

A policy to combat bribery and corruption is adopted. Employees do not request or accept special advantages from business partners. Employees adhere to principles of fair treatment and value in commercial relationships.

• Environmental and Social Responsibility:

Environmental protection and sustainability are prioritized. The company is conscious of its social responsibility and adheres to principles of equal opportunity.

2. Resolution of Ethical Violations

Those who violate ethical rules may be subject to various disciplinary measures. The AMPHERR AG Proposal Development System Board conducts investigations into violations.

• Reporting Ethical Violations:

Applications alleging violation of ethical rules should be made to ethical@ampherr.com. These applications are kept confidential and evaluated. Appeals to the board regarding disputes in judicial bodies are not allowed. This policy aims to encourage the company to adhere to ethical values and promote a sustainable business structure.
